These terms cover your use of https://www.apiflow.in and set out the standard basis on which APIFlow ("APIFlow", "we") takes on work. Every project also gets a written scope and quote; where that document and these terms differ, the project document wins.
Using the website
The content on this site is for general information and is provided as is. You may not copy, scrape, or reuse it commercially without our permission. We may change or take down any part of the site at any time.
Enquiries and quotes
- Sending us an enquiry does not create a contract. A project starts when both sides sign or accept a written scope and quote.
- Quotes are valid for 30 days unless stated otherwise.
- Fixed-quote projects cover the scope written in the quote. Work outside that scope is quoted separately before we start it.
Payment
- Projects are invoiced against milestones set out in the quote, usually with a deposit before work begins.
- Retainers are invoiced monthly in advance. Either side may end a retainer with 30 days written notice.
- Invoices are due within 14 days. Indian clients are invoiced in INR with GST where applicable. International clients are invoiced in USD unless agreed otherwise, and bank charges on international transfers are borne by the client.
- We may pause work on overdue accounts after giving notice.
Ownership
On payment in full for a milestone or project, you own the deliverables for that work: source code, designs, content, and any accounts or infrastructure we set up in your name. Until then we retain ownership. We keep the right to reuse general know-how, tooling, and non-client-specific components, and to name you as a client in our portfolio unless you ask us not to in writing. Third-party and open-source components remain under their own licences.
Confidentiality
We keep anything you share about your business, product, and users confidential and use it only for the work. We will sign a mutual NDA on request before an intro call.
Your responsibilities
You are responsible for the accuracy of content and material you give us, for having the rights to use it, and for reviewing and approving deliverables in a reasonable time. Delays in feedback may move the timeline.
Warranties and liability
We warrant that we will perform the work with reasonable skill and care and fix defects in our deliverables reported within the support period stated in the quote. Beyond that, the deliverables are provided without other warranties. Our total liability for any project is limited to the fees paid for that project, and neither side is liable to the other for indirect or consequential loss such as lost profit or data, except where the law does not allow such a limit.
Ending an engagement
Either side may end a project for material breach not fixed within 14 days of written notice. On termination you pay for work completed up to that date and receive the deliverables that have been paid for.
Governing law
These terms are governed by the laws of India, and the courts of India have jurisdiction. For international clients we are happy to agree a different governing law in the project contract.
